The race to succeed HDFC Bank MD and CEO Sashidhar Jagdishan has narrowed to two candidates, with deputy managing director Kaizad Bharucha emerging as the internal contender and ICICI Prudential Life CEO Anup Bagchi as the external candidate, according to media reports, quoting sources familiar with the matter.
HDFC Bank's board had on September 12 submitted the names of two candidates, in order of preference, to the Reserve Bank of India (RBI) for approval for a three-year term. The bank did not disclose their identities in its exchange filing.
According to reports, Bharucha is the internal candidate shortlisted by HDFC Bank, while Bagchi is the external candidate.
The development comes ahead of Jagdishan's exit after he decided not to seek a third term. His second term as MD and CEO ends on October 26, 2026.
Fortune India had on September 8 reported that Bharucha was emerging as a strong internal contender, while also highlighting the possibility of an external candidate being considered for the top job.
That report had named Bagchi, along with Citi India's K Balasubramanian, Tata Capital's Rajiv Sabharwal, HDFC Life's Vibha Padalkar and others, among the external names doing the rounds. It also highlighted the potential tenure constraint facing Bharucha, who joined HDFC Bank's board as a whole-time director in 2014.
Fortune India subsequently reported on September 12 that the HDFC Bank board had formally submitted two names to the RBI, in order of preference, without disclosing who they were. The report noted that the bank was weighing an insider option against the possibility of an external leader who could take charge with a clean slate.
Insider versus outsider
Bharucha has been with HDFC Bank since 1995 and is the lender's longest-serving executive board member. He became deputy managing director in April 2023 and has held responsibilities spanning wholesale and retail banking, credit, risk management and asset businesses. HDFC Bank's own profile describes him as having played a key role in the bank's strategic agenda and merger-related initiatives.
His candidature, however, comes with a regulatory tenure consideration. Having joined the board as a whole-time director in 2014, Bharucha would reach the 15-year tenure limit in 2029 under the applicable framework. Fortune India had earlier reported that this could restrict his ability to complete a full three-year term without regulatory approval.
Bagchi, meanwhile, brings experience from outside the HDFC ecosystem. He is currently MD and CEO of ICICI Prudential Life and has previously headed ICICI Securities. His career spans banking, capital markets and insurance, making him the external option in the two-way succession race.
The final appointment will depend on the RBI's approval. The succession comes at a crucial time for HDFC Bank, which is looking to improve margins, deposit mobilisation and returns following the merger with HDFC Ltd, while also addressing investor concerns around governance and leadership.
The bank has separately strengthened its leadership pipeline by appointing Jimmy Tata as a whole-time director and approving an additional whole-time director position, taking the proposed strength to four apart from the MD & CEO.
