Zee Entertainment Enterprises Ltd . (ZEEL) on Sunday said its shareholders have approved the issuance of fully convertible warrants to a promoter group entity on a preferential basis, paving the way for a ₹3,143.5 crore capital infusion to strengthen the company's balance sheet and fund future growth initiatives.

The approvals were secured at the company's Extraordinary General Meeting (EGM), where shareholders also cleared the implementation of the 'Truly Yours' Employee Stock Option Plan (ESOP) for employees of ZEEL and its subsidiary companies.

Under the approved proposal, ZEEL will issue 24,94,85,563 fully convertible warrants to a promoter group entity at ₹126 per warrant. The transaction will bring in ₹3,143.5 crore, increasing the promoters' shareholding in the company to 23.79% upon conversion.

The company said the fresh capital will enable it to accelerate growth plans, invest in new strategic business opportunities, and strengthen its existing business segments amid intensifying competition in the entertainment industry.

Shareholders also approved the 'Truly Yours' ESOP scheme, under which 3,74,22,835 stock options with a face value of ₹1 each will be granted to eligible employees of ZEEL and its subsidiaries in one or more tranches. The company said the ESOP programme is aimed at aligning employee interests with long-term shareholder value creation and fostering greater innovation and accountability.

ZEEL Chairman R. Gopalan said the shareholder approval reflects confidence in the company's management and long-term growth strategy. "The Board's decision and the subsequent shareholder approval to strengthen the company's financial foundation through promoter fund infusion will enable Zee to remain competitive and create greater value for all stakeholders. The approval of the ESOP plan also recognises the contribution of our employees and aligns them with the company's long-term growth journey," Gopalan said.
