Private equity investors Rosewood Investments and India Business Excellence Fund-III, backed by Motilal Oswal Private Equity, have sold a combined 10.4% stake in Symbiotec Pharmalab for ₹647.89 crore, just days ahead of the pharmaceutical company's ₹1,757-crore initial public offering (IPO).

The two investors offloaded 65.57 lakh shares at the upper end of the IPO price band of ₹988 apiece. The transaction was executed on August 19, according to a public announcement by the Indore-based company.

Rosewood Investments sold 27.83 lakh shares worth around ₹275 crore, while India Business Excellence Fund-III offloaded 37.74 lakh shares valued at ₹372.89 crore.

The shares were acquired by a clutch of institutional investors, including Think India Opportunities Master Fund, Dymon Asia Multi-Strategy Investment (Singapore), ValueQuest, WhiteOak Capital, Singularity Equity Fund I, Waterfield Flagship Fund I and Landmark Capital Markets.

With this, Rosewood Investments’ stake in Symbiotec Pharmalab has declined to 30.34%, from 34.78%, while India Business Excellence Fund’s holding has fallen to 18.14%, from 24.16% earlier.

The secondary transaction comes shortly before Symbiotec Pharmalab's IPO, which will open for subscription on August 24 and close on August 27. The IPO is scheduled to list on both the NSE and BSE, with the listing expected on September 1.

Aims to raise ₹1,757 crore via IPO

The IPO comprises a fresh issue of shares worth ₹150 crore and an offer for sale (OFS) of up to ₹1,607 crore. Promoter Satwani Holdings LLP and investors Rosewood Investments and India Business Excellence Fund-III will participate in the OFS.

The company has fixed a price band of ₹938-988 per share, with a minimum lot size of 15 shares for retail investors.

Of the fresh issue proceeds, ₹112.50 crore will be used towards the prepayment or repayment, in full or in part, of certain outstanding borrowings. The balance will be used for general corporate purposes.

The IPO has reserved up to 50% of the net issue for qualified institutional buyers (QIBs), at least 35% for retail investors and at least 15% for non-institutional investors.

Incorporated in 2002, Indore-based Symbiotec Pharmalab is engaged in the development and manufacturing of active pharmaceutical ingredients (APIs), nutritional ingredients and specialty products. The company caters to both domestic and international markets, including regulated and emerging markets.

The company reported a 15% increase in revenue and a 14% rise in profit after tax (PAT) in FY26 compared with the previous year. Total income rose to ₹872.26 crore in FY26 from ₹755.98 crore in FY25, while PAT increased to ₹109.90 crore from ₹96.79 crore. EBITDA stood at ₹231.97 crore in FY26, compared with ₹206.11 crore a year earlier.
