Shareholders approve four independent directors and one non-executive director at Zee’s 44th AGM; company says board continuity will support governance and strategic capital allocation

Zee Entertainment Enterprises Ltd. shareholders have approved the reappointment of five directors, including four independent directors and one non-executive director, at the company’s 44th Annual General Meeting held on Thursday.

The resolutions were approved with the requisite majority, with Deepu Bansal, Uttam Prakash Agarwal, P.V. Ramana Murthy and Shishir Babubhai Desai reappointed as independent directors, while Saurav Adhikari was reappointed as a non-executive director.

Five directors reappointed

The board’s reconstituted line-up retains experience across finance, technology, organisational development, risk management, governance, operations, strategy and business transformation, according to the company.

Zee said the continuation of the five directors would preserve institutional knowledge while strengthening oversight of the management team. The company also said its board had worked during the last financial year on internal processes, governance frameworks, oversight mechanisms and accountability.

R. Gopalan, chairman of Zee Entertainment Enterprises, said the reappointments would strengthen the board’s ability to provide strategic oversight while working with management on the company’s growth plans.

Focus shifts to financial foundation

The company’s statement also flagged financial strengthening and capital allocation as areas that received greater board attention over the past year. According to Zee, the board has identified the need to strengthen the company’s financial foundation and guide strategic capital allocation.

The development follows a shareholder-approved proposal at Zee’s Extraordinary General Meeting in July 2026 for an infusion of additional growth capital. The company said the capital would help it pursue emerging opportunities and build a stronger financial foundation.
