The Competition Commission of India on Wednesday approved the proposed amalgamation of Coursera's arm Chess Merger Sub with Udemy Inc.

US-based Coursera is a global education technology company that operates a leading online learning platform. It's operations in India are primarily through cross-border digital delivery (including its subsidiary Coursera India Pvt Ltd).

"The proposed combination involves the merger of Udemy Inc (Udemy) with Chess Merger Sub (Chess merger), a newly incorporated, wholly owned subsidiary of Coursera Inc. (Coursera)," the regulator said in a release.

After the completion of the merger, Udemy will survive as a wholly-owned subsidiary of Coursera.

Upon closing, existing Coursera shareholders are expected to own approximately 59%, while Udemy stockholders will own about 41% of the combined company, on a fully diluted basis, the CCI said.

Chess Merger Sub is a wholly-owned subsidiary of Coursera, Inc, and it is formed solely to effectuate the proposed combination.

Udemy operates a global online learning and teaching marketplace. It delivers its services digitally and does not rely on any specific offline infrastructure. The company's business is entirely online and international in scope.
