Tata Group shares fall up to 5% amid Tata Sons AGM uncertainty; Voltas, TCS, Tata Tech lead decline

Shares of Tata Group companies were reeling under selling pressure on Monday as investors turned cautious ahead of the Tata Sons annual general meeting (AGM) scheduled for August 18. According to reports, the AGM is likely to be adjourned amid uncertainty over whether it can proceed due to a regulatory restriction involving the Sir Ratan Tata Trust (SRTT).

Voltas was among the worst performers, falling 4.80%, followed by Tata Technologies, which declined 2.39%. Tejas Networks fell 2.44%, while Tata Consultancy Services (TCS) slipped 1.78% and Tata Investment Corporation declined 1.75%. Tata Motors Passenger Vehicles dropped 0.96%, while Tata Consumer Products, Tata Communications, Tata Chemicals and Tata Capital also traded lower.

Tata Power declined 0.39%, while Tata Steel was among the few gainers, rising 1.31%. Titan edged up 0.12%, while Tata Coffee gained 3.57%.

The selling pressure comes as the Tata Sons AGM faces a potential quorum hurdle. SRTT, which holds a 23.56% stake in Tata Sons, was unable to nominate a representative for the meeting following a regulatory restriction imposed by the Maharashtra Charity Commissioner. 

The restriction has complicated the process of nominating a joint representative from the two principal Tata Trusts for the Tata Sons AGM. The Maharashtra Charity Commissioner is yet to grant permission to SRTT trustees to convene a meeting and nominate a representative for the AGM.

The Charity Commissioner had stopped the SRTT board from meeting in May amid an ongoing inquiry into alleged violations of trustee composition norms under Section 30A(2) of the Maharashtra Public Trusts Act. Complaints, including one filed by Tata Sons vice chairman Venu Srinivasan, alleged that SRTT had exceeded the legal 25% cap on lifetime or perpetual trustees.

Tata Trusts chairman Noel Tata and trustees Darius Khambata and Jehangir H.C. Jehangir have written to the Charity Commissioner seeking permission to convene the SRTT board meeting.

The AGM has gained added significance following Tata Sons chairman N Chandrasekaran’s decision not to seek another term when his current tenure ends in February 2027. Chandrasekaran’s directorship at Tata Sons is also on the AGM agenda, making the meeting an important event for the conglomerate’s leadership transition.
