Shareholders of Zee Entertainment Enterprises Ltd. have approved a set of resolutions aimed at strengthening the company’s capital base, including a ₹3,143.5 crore investment by the promoter group and a new employee stock option plan.

The approvals were secured at an extraordinary general meeting held on Friday, with shareholders backing the preferential issue of fully convertible warrants to a promoter group entity. The company said the move will provide additional growth capital as it seeks to pursue new opportunities in an increasingly competitive entertainment market.

Under the approved arrangement, Zee will issue 24,94,85,563 warrants at ₹126 per warrant to the promoter group entity. The investment will eventually increase the promoter group’s shareholding in the company to 23.79%.

Focus on growth and financial flexibility

The fund infusion comes as Zee looks to strengthen its financial foundation and invest in its existing businesses as well as newer growth avenues.

The company said the additional capital will help it amplify its strategic growth initiatives and enhance capabilities across its existing business segments. The shareholder approval also provides greater alignment between the promoter group and the company’s longer-term growth plans.

R. Gopalan, chairman of Zee Entertainment Enterprises, said the shareholder vote reflected confidence in the company’s management and strategy.

“This approval is a clear reflection of the shareholders’ belief in the Company and its management,” Gopalan said, adding that the promoter fund infusion would strengthen the company’s resilience and help it “stay ahead of competition and generate higher value for all its stakeholders.”

He said the combination of growth capital and greater promoter alignment would be important for the company’s profitability over the longer term.

ESOP plan gives employees stake in growth

Shareholders also approved the implementation of Zee’s ‘Truly Yours’ Employee Stock Option Plan, under which 3,74,22,835 stock options will be granted to eligible employees of Zee and its subsidiaries in one or more tranches.

The company said the ESOP is intended to give employees a greater stake in its growth while aligning employee incentives with long-term shareholder interests.

Gopalan said the plan recognises the contribution of Zee’s human capital and is expected to encourage greater innovation and accountability.
